These terms apply to website use. Any consulting, advisory, or other paid services A77 provides are governed by separate terms.

"Member" refers to individuals or organizations participating in A77's Membership program(s). Membership is governed by separate Membership Terms.
"Services" in these terms refers to access to and use of the site and its content. Paid consulting and advisory services are governed by a separate contract, Master Services Agreement (MSA), or Scope of Work (SOW).
Acceptance
By accessing or using the site, you acknowledge that you have read, understood, and agree to be bound by these terms and our Privacy Policy, and Code of Conduct. If you are using the site on behalf of an organization, you represent that you have authority to bind that organization to these terms.
Use of the site
You agree to use the site only for lawful purposes and in a manner consistent with these terms. You may not:
Use the site in any way that violates applicable laws or regulations
Attempt to gain unauthorized access to any part of the site, our servers, or systems
Interfere or disrupt the operation of the site
Use automated tools (bots, scrapers, crawlers) to access the site without our written permission, except for standard search engine indexing
Misrepresent your identity or affiliation with any person or organization
Use the site to transmit harmful code, spam, or malicious content
Collect or harvest information from the site for unauthorized purposes
Use of A77's name, brand, or content to imply endorsement or partnership without written authorization
We reserve the right to restrict or terminate access to the site for any user who violates these terms.
Code of Conduct
All visitors, users, members, clients, partners, and contributors are expected to act in accordance with the A77 Code of Conduct. The code of conduct outlines the values and standards we expect across our community, engagements, and programs. Violations may result in restricted access to the site, termination of program or memberships, or other remedies as appropriate.
Intellectual Property
A77 Content
All content on the site, including but not limited to logos, trademarks, images, text, video, graphics, design, code, layouts, brand identity, and proprietary frameworks and methodologies, is the exclusive property of A77 Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, distribute, modify, transmit, display, publish, sell, license, or create derivative works from any A77 content without our prior written consent. Unauthorized use is strictly prohibited.
Limited License
Subject to your compliance with these terms. A77 grants you a limited, non-exclusive, non-transferable, revocable license to access and view content on the site for personal or internal business reference. This license does not permit reproduction, redistribution, or commercial use of any content without separate written agreement.
Third-Party Content
Content from third parties displayed on the site (including client logos, partner marks, and referenced materials) remains the property of those third parties and is used with permission or under fair use.
Membership
A77 operates a membership program at separate tiers for individuals and organizations. Membership provides access to services, content, recognition, and other benefits as described on the membership page. Membership is governed by separate membership terms. Membership fees are paid for services and benefits provided and do not constitute investment, equity, ownership, or any form of financial security in A77.
Links to Third-Party Sites
The site may contain links to third-party websites or services we don't own or control. We have no responsibility for the content, privacy practices, or terms of those third-party sites. Visiting them is at your own risk. We encourage you to review the terms and privacy policies of any third-party site before sharing information.
"As is" and "As available" Disclaimer
The site is provided on an "as is" and "as available" basis, without warranty of any kind. Limitation of Liability
To the maximum extent permitted by law, in no event shall A77, its directors, employees, contractors, affiliates, shareholders, parent companies, subsidiaries, investors, or service providers be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunity, or goodwill arising from your use of or inability to use the site, even if we have been advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless A77 Inc., its officers, directors, shareholders, parent companies, subsidiaries, employees, contractors, and affiliates from any claim, loss, damage, cost, or expense (including reasonable legal fees) arising from:

Your misuse of the site
Your violation of any applicable law or third-party rights
Any content or information you submit or transmit through the site
Termination
We may suspend or terminate your access to the site at any time, with or without notice, for any reason, including violation of these terms.
Upon termination your right to access and use the site immediately ceases. sections relating to intellectual property, disclaimers, limitations of liability, indemnification, governing law, and any provisions intended by their nature to survive termination will continue to apply.
Governing Law and Disputes
These terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable in Ontario, without regard to conflict of law principles.
You agree that any disputes arising out of or relating to these terms or your use of the site shall be addressed by contacting us at admin@a77inc.com to attempt information resolution. If information resolution fails, disputes shall be subject to binding arbitration.
Changes to these terms
We may update these Terms from time to time. Material changes will be communicated via email or through our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
Entire Agreement
These terms, together with the Privacy Policy and Code of Conduct, and any other documents referenced herein, constitute the entire agreement between you and A77 regarding use of the site, and supersede any prior agreements or understandings regarding the Site. For paid services, the applicable MSA or SOW/contract governs and supersedes these Terms with respect to those services.
Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Electronic Execution
These terms may be accepted electronically. You agree that your electronic acceptance, including by continued use of the site, has the same legal effect as a handwritten signature.
